These Terms of Use ("Terms") establish the rules and conditions governing your access to and use of our website located at mendmedicalcare.com (the "Website") and the healthcare services we provide (the "Services"). Mend Medical Care ("we," "us," or "our") is a precision medicine and concierge healthcare practice operated by a licensed Family Nurse Practitioner in the State of Arizona.

By accessing our Website or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy and HIPAA Notice. If you do not agree to these Terms, please do not use our Website or Services.

These Terms contain important information about your legal rights, including provisions regarding dispute resolution, limitation of liability, and disclaimers. Please read them carefully.

1. Acceptance of Terms

By accessing or using the Website or Services, you represent that you are at least 18 years of age, are a resident of the State of Arizona (or are physically located in Arizona at the time of receiving Services), and have the legal capacity to enter into a binding agreement. Your continued use of the Website or Services following any updates to these Terms constitutes your acceptance of those changes.

2. Changes to These Terms

We reserve the right to modify these Terms at any time at our sole discretion. When we make changes, we will update the "Effective Date" at the top of this page. Your continued use of the Website or Services after any changes take effect means you accept the revised Terms. If you do not agree with the updated Terms, you should stop using our Website and Services before the changes become effective.

3. Eligibility

Our Services are available exclusively to individuals who meet the following criteria:

  • You are at least 18 years of age
  • You are a resident of Arizona or are physically present in Arizona when receiving telehealth Services
  • You are capable of providing informed consent for medical treatment
  • You have provided accurate and complete information during registration and intake

Certain Services, such as hormone optimization therapy, may have additional eligibility requirements based on clinical criteria. We reserve the right to decline to provide Services to any individual at our sole discretion, including if we determine that our Services are not appropriate for your particular health situation.

4. Description of Services

Mend Medical Care provides precision medicine and concierge healthcare services, including but not limited to:

  • Functional medicine consultations and care
  • Hormone optimization, including testosterone replacement therapy (TRT)
  • GLP-1 weight management programs
  • IV therapy and nutrient infusions
  • Gut health assessment and treatment
  • Same-day medical house calls (Flagstaff area)
  • Telehealth consultations (statewide throughout Arizona)
  • Laboratory testing and analysis

All clinical Services are provided by a licensed healthcare provider in accordance with applicable Arizona state laws and regulations. Treatment decisions are made at the sole clinical discretion of our provider based on your individual health status, medical history, and clinical presentation.

No Guarantee of Treatment: We do not guarantee that any particular treatment, prescription, or therapy will be provided. All clinical decisions are based on the professional judgment of our healthcare provider after appropriate evaluation. Not all treatments are appropriate for all patients.

Cash-Pay Practice

Mend Medical Care operates as a cash-pay (also known as "direct pay" or "concierge") medical practice. We do not bill insurance companies, Medicare, Medicaid, or other third-party payers for our Services. You are responsible for paying for all Services directly at the time of service or as otherwise agreed.

5. Not for Emergencies

Our Website and Services are not designed for medical emergencies or urgent care situations. If you believe you are experiencing a medical emergency—including but not limited to chest pain, difficulty breathing, severe bleeding, signs of stroke, severe allergic reactions, or any condition that may be life-threatening—you should:

  • Call 911 immediately
  • Go to your nearest emergency room
  • Follow emergency care instructions from qualified emergency personnel

Do not attempt to contact us through the Website, email, phone, or text message for emergency situations. We do not provide 24/7 monitoring or emergency response services.

Our Services are not a substitute for primary care, emergency care, or specialist care when such care is medically indicated. You should maintain a relationship with a primary care provider and seek appropriate specialty care as recommended.

6. Telehealth Consent and Acknowledgment

By using our telehealth Services, you consent to receiving healthcare through audio, video, and other electronic communication technologies. You acknowledge and understand the following:

What Telehealth Involves

Telehealth allows you to receive healthcare services remotely through secure video conferencing, phone calls, and electronic messaging. Your health information, including audio and visual data, will be transmitted electronically between you and your healthcare provider.

Benefits of Telehealth

  • Convenient access to healthcare from your home or other private location
  • Reduced travel time and associated costs
  • Ability to receive care when in-person visits are impractical
  • Access to specialized services regardless of location within Arizona

Risks and Limitations of Telehealth

  • Technical difficulties may interrupt or prevent your session (poor internet connection, equipment failures, software issues)
  • The inability to perform a physical examination may limit the provider's ability to diagnose certain conditions
  • In rare cases, security measures could fail, potentially exposing your health information
  • Telehealth may not be appropriate for all medical conditions; in-person evaluation may be required
  • There may be delays in treatment if technical issues prevent timely communication

Your Rights

  • You may withdraw consent and discontinue telehealth services at any time
  • You may request an in-person visit instead of telehealth when clinically appropriate
  • All information shared during telehealth sessions remains confidential and protected under HIPAA
  • You have the right to access your medical records as provided by law

Your Responsibilities During Telehealth

  • Ensure you are in a private location where the conversation cannot be overheard
  • Use a secure, private internet connection (avoid public Wi-Fi)
  • Have a backup phone number available in case of technical difficulties
  • Be physically located in Arizona at the time of your telehealth appointment

7. Patient Responsibilities

As a patient of Mend Medical Care, you agree to:

  • Provide complete, accurate, and truthful information about your medical history, current medications, supplements, allergies, and lifestyle factors
  • Promptly inform us of any changes to your health status, medications, or contact information
  • Follow the treatment plan and medication instructions provided by your healthcare provider
  • Notify us promptly if you experience any side effects, adverse reactions, or complications from treatment
  • Complete all required laboratory tests and follow-up appointments as directed
  • Use prescribed medications only as directed and only for yourself—never share prescriptions with others
  • Seek emergency care when appropriate and not rely on our Services for urgent or emergent conditions
  • Treat our staff with respect and courtesy

Failure to comply with these responsibilities may result in discontinuation of Services and may negatively impact your health outcomes.

8. Prescription Policy

If, after an appropriate clinical evaluation, our healthcare provider determines that prescription medication is appropriate for your condition, a prescription may be issued. You understand and agree to the following:

  • Prescriptions are issued solely at the clinical discretion of our healthcare provider
  • There is no guarantee that any particular medication will be prescribed
  • Prescriptions are for your personal use only and must never be shared, sold, or transferred to others
  • You are responsible for reading and following all medication guides, labels, and instructions
  • Certain medications require periodic laboratory monitoring, follow-up visits, or dosage adjustments
  • We may decline to prescribe, refill, or continue prescriptions if you fail to complete required labs or follow-up visits
  • We generally do not prescribe Schedule II controlled substances via telehealth
  • You have the right to choose any licensed pharmacy to fill your prescriptions

Medication Costs: The cost of prescription medications is separate from the cost of our Services. You are responsible for paying for medications at the pharmacy of your choice. Some specialty medications may be available through partner pharmacies.

9. Payment Terms

Mend Medical Care is a cash-pay practice. By using our Services, you agree to the following payment terms:

Payment Methods

We accept major credit cards, debit cards, and other payment methods as indicated on our Website. Payment is due at the time of service unless other arrangements have been made in advance.

Pricing

Current pricing for our Services is listed on our Website or will be provided to you before services are rendered. We reserve the right to change our prices at any time. For any prepaid packages or memberships, price changes will take effect at your next renewal period.

No Insurance Billing

We do not bill health insurance, Medicare, Medicaid, AHCCCS, or any other third-party payers. We will not submit claims on your behalf. If you wish to seek reimbursement from your insurance company, you may request a superbill or receipt from us, but reimbursement is not guaranteed and is between you and your insurer.

Not an Insurance Product

Our Services are not health insurance. Amounts you pay us are not insurance premiums. Our Services do not replace the need for health insurance coverage.

Additional Costs

Certain services may incur additional costs beyond the base consultation fee, including but not limited to laboratory testing, imaging, specialty referrals, medications, and supplements. We will inform you of any additional costs before they are incurred when possible.

Failed Payments

If a payment fails or is declined, we may suspend Services until payment is received. You are responsible for any fees associated with failed payments, returned checks, or chargebacks to the extent permitted by Arizona law.

10. Cancellation and Refund Policy

Appointment Cancellations

We require at least 24 hours' notice for appointment cancellations. Appointments canceled with less than 24 hours' notice or missed without notification ("no-shows") may be subject to a cancellation fee. Repeated no-shows or late cancellations may result in termination of the patient-provider relationship.

Refunds

Due to the nature of healthcare services, refunds are generally not provided for services that have been rendered. For prepaid packages or memberships, refund policies will be specified at the time of purchase. Unused portions of packages may be refundable on a prorated basis at our discretion, minus any applicable administrative fees.

Termination of Services

Either party may terminate the patient-provider relationship at any time. If we terminate your care, we will provide reasonable notice when possible and assist with transitioning your care to another provider when appropriate. Termination does not relieve you of any payment obligations for services already rendered.

11. Account Security

If you create an account on our Website or patient portal, you are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your account
  • Notifying us immediately if you suspect unauthorized access to your account
  • Keeping your account information accurate and up to date

Do not share your password with anyone. We will never ask for your password via email or phone. You agree not to access accounts belonging to others or attempt to gain unauthorized access to any part of our systems.

We reserve the right to suspend or terminate accounts that we believe have been compromised or are being used in violation of these Terms.

12. Website Content and Medical Information

The content on our Website—including text, graphics, images, and other materials—is provided for general informational purposes only. This content is not intended to be, and should not be construed as, medical advice, diagnosis, or treatment recommendations.

No provider-patient relationship is established simply by visiting our Website or reading its content. A provider-patient relationship is only established when you have been formally accepted as a patient and have received clinical services from our healthcare provider.

Always seek the advice of a qualified healthcare provider with any questions you may have regarding a medical condition. Never disregard professional medical advice or delay seeking it because of something you have read on this Website.

Accuracy of Information: While we strive to keep our Website content accurate and up to date, we make no warranties about the completeness, reliability, or accuracy of this information. Any reliance you place on such information is at your own risk.

13. Intellectual Property

All content on the Website—including but not limited to text, graphics, logos, images, audio clips, video, data compilations, and software—is the property of Mend Medical Care or its content suppliers and is protected by United States and international copyright, trademark, and other intellectual property laws.

The "Mend Medical Care" name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Mend Medical Care. You may not use these marks without our prior written permission.

You may view, download, and print content from the Website for your personal, non-commercial use only, provided you do not modify the content and you retain all copyright and proprietary notices. Any other use—including reproduction, modification, distribution, transmission, republication, or display—requires our prior written consent.

14. Prohibited Conduct

Opting out may affect our ability to send you important appointment reminders.

Email Communications

Standard email is not a secure method of communication. While we take precautions to protect your information, please be aware of the inherent risks when sending sensitive information via email. For highly sensitive communications, please contact us by phone or through our secure patient portal.

Recording

We do not routinely record telehealth sessions or phone calls. If recording becomes necessary for clinical documentation or quality assurance purposes, we will obtain your consent prior to recording.

Our Website may contain links to third-party websites, services, or resources that are not owned or controlled by Mend Medical Care. These links are provided for your convenience only.

TO THE EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE WEBSITE OR SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

You agree to defend, indemnify, and hold harmless Mend Medical Care, its owner, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property rights
  • Your violation of any applicable law or regulation
  • Any information you submit or transmit through the Website
  • Your failure to provide accurate or complete information

This indemnification obligation does not apply to liability arising from our gross negligence or willful misconduct.

20. Dispute Resolution

We hope to resolve any disputes amicably. If you have a concern about our Services, please contact us first so we can attempt to resolve the issue informally.

Informal Resolution

Before initiating any formal legal proceeding, you agree to first contact us at info@mendmedicalcare.com and attempt to resolve the dispute informally for at least thirty (30) days. Most concerns can be resolved quickly through direct communication.

Binding Arbitration

If we cannot resolve a dispute informally, you and Mend Medical Care agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Website, or the Services (except for claims related to medical malpractice or professional negligence, which shall be resolved in accordance with Arizona law) shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules.

Arbitration shall take place in Coconino County, Arizona, unless you and we agree to a different location or to conduct the arbitration by phone or video conference.

Class Action Waiver

YOU AND MEND MEDICAL CARE AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR OUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.

Exceptions

Notwithstanding the above, either party may bring an individual action in small claims court for disputes within the court's jurisdiction. Additionally, claims of medical malpractice or professional negligence are not subject to arbitration under these Terms and shall be resolved in accordance with applicable Arizona law.

Opt-Out

You may opt out of this arbitration agreement by sending written notice to us within thirty (30) days of first accepting these Terms. Your notice must include your name, address, email address, and a clear statement that you wish to opt out of the arbitration provision.

21. Governing Law and Jurisdiction

These Terms and any disputes arising out of or related to them or the Services shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of laws principles.

For any disputes not subject to arbitration, you agree to submit to the exclusive jurisdiction of the state and federal courts located in Coconino County, Arizona. You waive any objection to venue in these courts.

22. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and HIPAA Notice and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Mend Medical Care regarding your use of the Website and Services.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' original intent.

Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Mend Medical Care.

Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

Force Majeure

We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from causes beyond our reasonable control, including but not limited to natural disasters, pandemics, government actions, power outages, internet failures, or other force majeure events.

Survival

Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, limitations of liability, indemnification, and dispute resolution provisions.
